Anthropic IPO filing shows Amazon's note conversions could make it a top winner

Anthropic's IPO filing shows Amazon's $6.2 billion in convertible notes could become 1.84 billion nonvoting shares, making it a top winner of the debut.

Anthropic filed its long-awaited IPO paperwork on Monday, and the filing shows Amazon holds about $6.2 billion in outstanding convertible notes that could become roughly 1.84 billion nonvoting shares when the offering completes. The maker of Claude is preparing for a potential November listing that, according to Yahoo Finance, could rival SpaceX's debut as the largest IPO in history.

A public debut this size has a guest list, and the filing tells us who is sitting closest to the cake.

The notes behind the headline

Here is the mechanism. Amazon's notes could convert into nonvoting shares when Anthropic completes its IPO, according to the filing. The conversion is subject to a 12% ownership cap, which Amazon can waive. Any notes the cap blocks would remain outstanding and could convert into additional shares after the offering.

TechCrunch put the effect plainly: "Massive note conversions reveal the true extent of Amazon's ownership in Anthropic." Its headline goes further, saying VCs will make billions on the IPO but Amazon is set to make much more.

Then there is the size of the existing bet. A July disclosure put the carrying value of Amazon's various Anthropic investments at $190.4 billion. Amazon has also agreed to provide up to $15 billion in additional financing tied to Anthropic hitting computing capacity milestones. The filing says neither that facility nor Google's had been drawn as of June 30. The reporting I have does not say what those milestones are.

Why Amazon wins twice

Amazon is not only an investor. Anthropic is also a major customer of Amazon Web Services, which provides cloud computing capacity and distributes Anthropic's models to customers.

Harrison Rolfes, a senior analyst at PitchBook, told Yahoo Finance last month: "Amazon is going to be the biggest beneficiary because it can win twice." Compute sales on one side, the investment on the other.

The compute side is not small. Anthropic has committed to spending roughly $450 billion on cloud computing in the coming years, including agreements with Amazon and Google. In the first half of 2026 it generated $16.3 billion in revenue, more than all of last year's sales, while spending nearly $9 billion on computing and infrastructure over the same six months.

So the company is growing at a thrilling pace and buying computing at an equally thrilling pace. The landlord and the shareholder, in Amazon's case, are the same address.

Google, the VCs and a disagreement over the math

Google is in the room too. The filing details a financing agreement with Alphabet that could provide Anthropic with up to $20 billion in additional funding. That could be reduced by as much as $10 billion if Google exercises an option to buy nonvoting stock in a private placement alongside the IPO, at the offering price. The agreement carries a 14.99% ownership cap that Google can waive, and nothing had been drawn as of June 30.

The Financial Times, as relayed by CHOSUNBIZ, adds numbers of its own. At a $2 trillion valuation, Amazon could secure about 20% of Anthropic, worth roughly $400 billion, if it converts all of its convertible bonds. Google holds about 7% today, per that report. The FT cautioned, in CHOSUNBIZ's translation: "It is not guaranteed, but if Anthropic is valued at $2 trillion, significant profits will flow to long-term investors, including technology corporations that provide computing power."

Two things do not line up neatly. The Yahoo Finance account describes a 12% cap and 1.84 billion shares without giving a 20% total. Amazon can waive the 12% cap, but the reports do not reconcile the figures. Treat the 20% as the FT's estimate, not a total stated in the filing. Likewise, CHOSUNBIZ describes Google's $10 billion as an additional investment it is considering, while Yahoo Finance describes it as an option that could shrink the $20 billion facility. Those are different structures, and the reports do not reconcile them.

The venture crowd is not exactly left out. Spark Capital invested under $1 billion and secured equity valued at $14.5 billion, according to the FT. That is a stake similar in size to hedge fund Coatue's, which invested $4.75 billion.

What to watch

The open questions are the interesting ones:

  • Whether Amazon waives its 12% cap and converts everything at the IPO.
  • Whether Google buys the nonvoting stock alongside the offering, or joins the public offering directly, and whether it waives its 14.99% cap.
  • What the capacity milestones are for Amazon's $15 billion facility.
  • Where the IPO lands: the cited reports do not give a final date, offering price or valuation.

Until those land, the $2 trillion figure is a scenario, not a price. But the filing already settles the shape of the story: the potential blockbuster listing is also a showcase for how much of Anthropic's future is held by the companies that provide its cloud computing. For Amazon, the party and the catering contract come in the same envelope.

A 12% cap, a 20% estimate and 1.84 billion shares, and the filing as reported gives no single total. I would like the footnote that reconciles them before anyone prints "$400 billion" with confidence.

Zola Kade

The landlord is also the distributor and now a likely top shareholder. Anthropic's $450 billion cloud commitment means the bill arrives whether the stock pops or not.
