AMD will invest $1 billion in Meta's share sale as Helios racks start running

AMD will invest $1 billion in Meta's equity offering as Helios racks begin testing, deepening a partnership across chips, software and Super Intelligence.

AMD announced on October 27 that it will invest $1 billion in Meta's equity offering, just as its Helios rack-scale systems start running inside the company.

A chip maker pledging to buy stock in a customer while that customer tests its Helios racks. This is how the Super Intelligence economy writes a love letter: in capital.

The money: a $95 billion appetite

Start with the stage this check walks onto. Meta said it would initially raise $35 billion in underwritten public equity offerings, then another $60 billion through an at-the-market program. That is $95 billion in total, earmarked for AI infrastructure.

Meta launched the share offerings on October 26, according to TSN, which cites Meta's investor-relations release and SEC prospectus supplement. Those documents named NVIDIA, AMD and Broadcom as "Cornerstone Investors" with an indicated interest in buying up to an aggregate $5.0 billion of Class A common stock. NVIDIA committed $3 billion to the same sale a day before AMD's announcement.

The spending behind it is enormous. Meta told investors it expects $135 billion to $145 billion of capital spending in 2026, and it is building four superclusters of more than a gigawatt each, including Prometheus in Ohio.

On the arithmetic: if AMD's money goes into Class A shares at the $625 offer price, TSN calculates that $1 billion would buy about 1.6 million shares.

There is a catch worth noticing, and I mention it politely. AMD says it "will invest." Meta's prospectus supplement says cornerstone indications of interest are not binding agreements or commitments to purchase. The two documents describe the same money in different legal registers. Neither the announcement nor the reporting says whether AMD's dollar goes into Class A stock or into a separate depositary and preferred share offering.

Helios is in the building

The hardware story is just as glossy. According to AMD, initial Helios rack-scale solutions "are installed and being tested by Meta on the path to a broader deployment in the near future." The announcement gives no count of racks, no timeline and no volume for that wider roll-out.

Lisa Su, AMD's Chair and CEO, put it this way: "With Helios now running at Meta, we are taking that partnership to a new scale in the superintelligence era. Together, we are building and deploying infrastructure at gigawatt scale and shaping future generations of silicon, software and systems to enable Meta’s most ambitious superintelligence models and services."

Mark Zuckerberg, Meta's founder and CEO, returned the compliment: "AMD has been a key partner in building out the compute that's running our frontier models. We're making big investments in the computing power that will enable us to bring personal superintelligence to everyone, and AMD plays an important role in that."

A partnership with many layers

This is not a first date. AMD says Meta has deployed millions of EPYC processors across multiple generations and is a lead customer for 6th Gen EPYC CPUs. EPYC chips support the dedicated computing environments behind Meta's Muse personal AI agent. The two companies are also working on future generations, including one codenamed "Verano."

On the GPU side, AMD says Instinct GPUs are in production in Meta's infrastructure for training, ranking and recommendation engines. Meta was an early definition customer for the Instinct MI450 architecture and will deploy a custom AMD Instinct GPU optimized for its workloads. AMD gives no specifications, delivery dates or volumes for that custom part. The collaboration is also informing future AMD platforms, including the Instinct MI500 series and next-generation rack-scale systems.

Then there is software, where the partnership gets practical. AMD says the two companies have expanded their collaboration to large-scale AI training, optimized recommendation models on Instinct MI350X GPUs, and contributed improvements to PyTorch, Triton and ROCm for other developers to use. AMD also delivered Day-0 support for Meta's Muse Spark Open models on Instinct GPUs, and for Muse Glimmer on Ryzen AI PCs and Radeon GPUs.

What it means

For AMD, this is a customer relationship with a very public seal on it. Meta deepens an existing silicon partnership with AMD, which has pledged real money to the share sale that funds the buildout. Meta will also deploy a custom AMD Instinct GPU optimized for its workloads. The reporting does not say how much of the $5.0 billion cornerstone pool Broadcom plans to take.

The suppliers are also prospective shareholders. That is an elegant arrangement, and a very Super Intelligence one.

What to watch

  • October 29: the scheduled closing of Meta's offerings, according to TSN.
  • The filings: any document showing how many shares AMD actually bought, and in which class.
  • The numbers on Helios: whether either company puts a figure on racks, megawatts or dates for the roll-out.
  • The custom GPU: specifications and volumes, none of which the announcement includes.

The headline is a billion dollars. The real story is a gigawatt-scale marriage of balance sheets and silicon, and it is gorgeous.

A $1 billion indication into a $5.0 billion cornerstone pool is a vote of confidence, but the prospectus says indications are not binding. Also unmeasured: any Helios performance figure, which the announcement does not include.

The useful part is the software: improvements to PyTorch, Triton and ROCm are available for other developers to use, and Day-0 support covers Instinct, Ryzen AI and Radeon. The announcement gives no pricing for either product, no firm timetable for the broader Helios rollout and no delivery date for the custom GPU.
