Thrive Holdings, the OpenAI-backed holding company, has agreed to take ADT private in an all-cash deal that values the home-security giant at $15.3 billion in enterprise value. ADT stockholders will receive $10.00 per share, according to ADT's announcement, and TechCrunch reports the buyer plans to bring AI to the business.

A famous alarm brand, a venture-world buyer and a very large check. This is the kind of morning I live for.

The numbers

The agreement values ADT at roughly $7.6 billion in equity value and $15.3 billion in enterprise value. Both figures are real, and both are in headlines. The Information and TechCrunch lead with the $15.3 billion enterprise value, while Bloomberg Law and The Verge lead with the $7.6 billion equity price. Same deal, two lenses.

The per-share price is where shareholders will look first. At $10.00 in cash, it is a 45.6% premium to ADT's unaffected closing price of $6.87 on October 27, 2026, and a 52.1% premium to its 30-day volume-weighted average price ending that day. ADT's board approved the merger agreement unanimously.

The timeline: the transaction is expected to close in the first quarter of 2027, subject to customary conditions including a vote by ADT's stockholders and U.S. antitrust approval. It is not subject to a financing condition. Once it closes, ADT's stock stops trading on the New York Stock Exchange.

Who is paying, and an old friend

The financing commitments come solely from funds managed by affiliates of Apollo Global Management. Here is the twist worth savoring: Apollo is ADT's former owner. It took ADT private in 2016, brought it public on the NYSE in 2018, and sold its remaining stake just five months before this deal. Apollo exits the front door and returns through the financing window.

On the other side of the table is Thrive Holdings, a permanent capital holding company founded in 2025 as an offshoot of Joshua Kushner's venture firm, Thrive Capital Management. It already holds more than 75 businesses across accounting, IT services and the built environment, including Current in accounting and Shield in IT services. TechCrunch likens it to a "private equity firm for AI," one that buys traditional businesses and applies AI to their workflows.

The advisory bench is suitably gilded. Citi and Goldman Sachs are financial advisors to ADT, with Cravath, Swaine & Moore as legal counsel and Edelman Smithfield on communications. Evercore is exclusive financial advisor to Thrive Holdings, with Kirkland & Ellis as legal counsel.

What the AI is supposed to do

This is where the announcement is thin. After closing, ADT will form the foundation of Thrive Holdings' smart home security business, and TechCrunch reports the plan is to bring AI to it. The materials give no product roadmap, no target for savings or revenue, and no description of which ADT workflows would change first.

What ADT does have is reach. It has more than 12,000 employees and over 150 years of security experience. It also has partnerships with major tech companies that let its technicians sell and install Google Nest devices and Apple's new lineup of smart home products.

On privacy, ADT says its data and privacy policies will remain unchanged and that no new data sharing will occur without customer permission. A home-security company will be asked about that line often, especially once the word AI is attached to the owner.

What to watch

  • The go-shop. ADT may solicit proposals from third parties for 30 days, until 11:59 p.m. New York City time on November 28, 2026, with a potential 10-day extension for certain parties that submit proposals. The announcement does not state a termination fee.
  • November 3. ADT issues its third-quarter 2026 results before the market opens, with a 10 a.m. ET call. The company says it will not take questions on the call because of the transaction.
  • OpenAI's role. The announcement does not say what OpenAI provides to Thrive Holdings or to this deal. The "OpenAI-backed" label is TechCrunch's.
  • Leadership and partners. The materials do not say whether ADT's current executive team stays on after closing, or how the Google Nest and Apple arrangements fare.

The headline is a $15.3 billion bet that a security business with more than 150 years of experience can become an AI business. Closing is expected in the first quarter of 2027, subject to shareholder and U.S. antitrust approval. After that, the AI pitch will need more than a handsome purchase price.

Hari Sterne

TechCrunch reports that AI is coming to ADT; ADT's announcement gives no benchmark, workflow or target. The premium, at least, comes with a number: 45.6%.

Zola Kade

ADT technicians already install Google Nest and Apple's new smart home lineup. The announcement does not say whether that continues, and that is the part customers can actually plug in.
