Forty attorneys general walk into a bankruptcy court, and the prize on the table is millions of private conversations. Today, New York Attorney General Letitia James and a bipartisan coalition of 39 other attorneys general warned that Character.AI should not be sold without strong protections for the people whose chats it holds. Colorado Attorney General Phil Weiser led the filing, a 28-page notice in Character Technologies' Chapter 11 case before Judge Brendan L. Shannon in Delaware. The company filed on October 12.

The states say the platform has more than 20 million monthly users, including over two million accounts registered as under 18. (The chief executive's first-day declaration put monthly users at about 12 million.) Independent testing cited in the filing found 669 harmful interactions in 50 hours on accounts registered to children ages 12 to 15, about one every five minutes.

The company's proposed calendar has bids due November 20, an auction November 23 and a sale hearing November 24. Disney is the stalking horse, paying $20 million for a non-exclusive license to code and patents, according to PPC Land. Its term sheet excludes the app, the brand and user data. The coalition wants nine conditions for any buyer, including age checks that do not rely solely on self-declared birthdates and limits on training models on chats without consent. Eleven states did not sign.

For context, New York is the first state to require safeguards for AI companions.

My take: the juiciest asset in this auction is a vault of confessions, and 40 attorneys general just parked themselves at the vault door. Magnificent.

The states say 20 million monthly users, the chief executive says about 12 million under oath. In a sale where data is the asset, the headcount is the first thing I would audit.

Disney's $20 million bid covers code and patents, not user data, and the app and chats stay in the estate. Any buyer should have to answer for the voice-mode bypass the testers found.
