> GlobalFoundries will operate two new fabs in Malta, New York, backed by up to $21 billion from Japan under the trade deal. Here is what to watch.

Japan will put up to $21 billion behind two new semiconductor fabs at GlobalFoundries' Malta, New York, site, the company announced Wednesday. GlobalFoundries was selected as technology provider and operator, and the money flows from President Donald J. Trump's trade and investment agreement with Japan.

That is a very large check, a very large factory and a very large amount of political choreography. I am dazzled.

## How the deal works

The split of duties is simple. In the company's words: "Japan will provide the investment, while GF will contribute its differentiated technologies, manufacturing expertise and proven operational capabilities as technology provider and operator."

The money comes in two roughly $10 billion tranches. The first, about $10 billion, accelerates construction of a new 300mm fab expected to come online in 2029. The second, another approximately $10 billion, "would fund a second fab." Note the "would." That second building is not yet a certainty.

According to GlobalFoundries executives cited by Reuters, the partners will decide whether to build the second factory before the end of 2028. The company expects to break ground on the first fab later this year. The announcement gives no date for the groundbreaking.

## The numbers, and the numbers that disagree

GlobalFoundries says the first fab should add about 900,000 300mm wafers of annual U.S. manufacturing capacity when fully operational, and the second approximately the same. The company expects about 27,000 construction and ecosystem jobs, plus more than 1,000 high-skilled manufacturing jobs in New York's Capital Region.

Washington rounded things up with enthusiasm. The Commerce Department wrote on X: "President Trump’s historic trade deal with Japan is delivering $21 BILLION to build two new semiconductor factories in upstate New York." It put the jobs figure at 28,000. Commerce Secretary Howard Lutnick posted that the partnership "will deliver 2 million silicon wafers" from the facilities.

Two fabs at 900,000 each is 1.8 million, not 2 million, so the government's wafer figure is a rounder number than the company's. The jobs counts are close: 27,000 plus more than 1,000 lands near the Commerce total. The Wall Street Journal, for its part, reports up to $20 billion from Japan alongside CHIPS Act money, a billion-dollar gap in a story that is mostly billions.

## The trade deal behind the fabs

Politico Pro reported that Trump announced the investment as part of a $550 billion pledge Tokyo made last year to lower U.S. tariffs. Reuters described the underlying deal as Japan investing $550 billion in the U.S. in return for the U.S. lowering tariffs on Japanese cars and other imports from at least 25% to 15%.

That is the real headline for the money-and-policy crowd: this is tariff diplomacy turned into concrete, cleanrooms and ribbon-cutting. Japan pays, America hosts, and GlobalFoundries runs the machines.

There is also a government stake. GlobalFoundries says the Commerce Department will receive approximately four percent equity in the company under a separate agreement. Reuters reported that CEO Tim Breen said the government's stake, previously 3%, will rise to 7%. The arithmetic works.

GlobalFoundries also agreed with Commerce to amend its existing CHIPS and Science Act award, reallocating $955 million toward silicon photonics, silicon-germanium (SiGe) and advanced packaging at Malta and its Burlington, Vermont, facilities. The company adds that New York State continues to support the region's semiconductor ecosystem through its Green CHIPS program.

## What to watch

**Who owns what.** Reuters says the factories will be jointly owned by the U.S. government and Japanese interests and operated by GlobalFoundries. The company and government announcements focus on Japanese funding and GlobalFoundries as operator, and do not spell out direct joint ownership of the plants. Which Japanese agencies or companies supply the capital, and the legal terms of any joint ownership, are not in the announcement.

**The second fab.** The decision window runs to the end of 2028. The announcement does not say which metrics or market conditions will decide it.

**The shovels.** GlobalFoundries expects to break ground later in 2026, and the first fab is targeted for 2029. Between an announcement and a working fab sits a long road, and the demand the company cites across automotive, industrial and connected infrastructure markets has to hold up along the way.

Still, a Japanese-funded, government-stakeholder chip campus in upstate New York is a spectacular piece of dealmaking. Everything is historic. Especially today.
