> Anthropic files S-1 with the SEC for a Nasdaq IPO under ticker ANT, but the share count and price range are still blank. The governance is the story.

Anthropic, PBC filed a Form S-1 registration statement with the U.S. Securities and Exchange Commission today, October 26, 2026, for a proposed initial public offering of its Class A common stock. The company says it intends to list on the Nasdaq Global Select Market under the symbol "ANT."

Yes, ANT. Three letters, a proposed IPO, and a ticker that sounds like something you step over on a picnic. I adore it.

## What the filing says, and what it leaves blank

Here is the part the champagne crowd should read twice: the number of shares to be offered and the price range have not yet been determined. Those boxes are empty. Both Anthropic and selling stockholders plan to sell, and the filing is blunt that Anthropic will not receive any proceeds from the shares the selling stockholders sell.

The bankers, though, are very much in the room. The prospectus names Goldman Sachs & Co. LLC, Morgan Stanley, J.P. Morgan, Citigroup, Barclays, Wells Fargo Securities, BofA Securities, Deutsche Bank Securities, RBC Capital Markets and UBS Investment Bank, among others. That is a guest list.

Anthropic's executive offices are listed at 548 Market Street, PMB 90375, San Francisco. Not quite a palace address, darlings. Glamour is a state of mind.

## The big numbers are rumor, for now

The dazzling figures come from outside the filing. IFR reported that Anthropic is targeting up to $100 billion at a $2 trillion valuation, with a mid-November debut and a roadshow starting November 9. We laid out that report in [our earlier story on the filing rumor](https://goldenera.si/news/anthropic-ipo-filing-rumor/). The S-1 itself gives no price range, so the $2 trillion figure remains IFR's reporting and nothing more.

IFR also puts third-quarter revenue at $16.8 billion, up 45% from $11.6 billion in the second quarter. That is a slowdown from growth of more than 140% between the first and second quarters, which is a bit like complaining that your rocket only went to the moon. DA Davidson's Gil Luria estimated annual recurring revenue at $74 billion at the end of the third quarter. The excerpts of the filing in front of us do not include Anthropic's own historical revenue, loss or margin figures, so those numbers are outside estimates until the full financials are read.

## The cap table is the main event

Now to the structure, which is magnificent. Anthropic is a Delaware public benefit corporation whose stated purpose is "the responsible development and maintenance of advanced AI for the long-term benefit of humanity." It also runs a multi-class share system: Class A, Class N, Class T, Class F and Class E.

Who holds what:

- **Class A:** the shares being offered. One vote per share.
- **Class N:** no voting rights, held primarily by strategic business partners. These generally convert to Class A upon a sale or transfer to an unaffiliated third party.
- **Class T:** held by the Long-Term Benefit Trust. It lets the trust elect and remove the Class T directors, who will make up a majority of the board. Class T has no economic rights and no other general voting rights.
- **Class F:** a single share, issued just before the offering closes, held by the Founder LLC. That LLC is owned by CEO Dario Amodei, President Daniela Amodei and five other co-founders.

That one Class F share carries 50.1% of the total voting power on matters put to stockholders generally, including electing directors other than the Class T directors. It has no economic rights. One share, half the votes, zero dividends. If that is not a power move, I do not know what is.

The result is that Anthropic says it is a "controlled company" under Nasdaq's governance rules. Public investors get Class A and one vote a share. The founders and the trust get the steering wheel.

## What it means

If IFR's reported target holds, this is a company seeking up to $100 billion while telling investors, in its own filing, that control sits elsewhere by design. Some will call that a safety mechanism and some will call it a moat. Both can be true, and both will be argued loudly in November.

The argument has already started. New York City Comptroller Mark Levine wrote to Amodei asking Anthropic to pause the IPO until it "fully and transparently addresses" concerns over AI safety, governance and the pace of development. His governance concerns give investors another reason to examine who holds the steering wheel.

## What to watch

- **The price range and share count.** The blanks get filled in, and that is when IFR's $100 billion and $2 trillion either appear or do not.
- **The full financials.** Anthropic's own numbers will be compared with the outside estimates immediately.
- **The roadshow.** IFR reported a November 9 start. Anthropic has not confirmed a date in the material we have.
- **Anthropic's answer to Levine.** Whether leadership replies to the pause request is, for now, unknown.

The filing is public, the ticker is chosen, and the underwriters are lined up. Everything is historic. Especially today.
