> Anthropic's S-1 filing lists up to $567 billion in compute commitments and a founder share with 50.1% of the vote, ahead of a Nasdaq listing as ANT.

Anthropic, PBC filed its Form S-1 with the SEC on October 26, 2026, proposing an initial public offering of Class A common stock. It has applied to list on the Nasdaq Global Select Market under the ticker "ANT," and the filing puts between $542 billion and $567 billion in future compute and infrastructure commitments on paper, according to Fortune.

Historic? Darling, it is a prospectus the size of a small country's budget, and we are all invited to read it.

## The compute bill is the story

Start with the spending. Compute is Anthropic's number one operating expense: $5.6 billion in the second quarter of 2026, against $11.6 billion in revenue for the same quarter, Fortune reports. For the first half, revenue was $16.3 billion, up from $1.2 billion a year earlier, as we covered in [our first look at the filing](https://goldenera.si/news/anthropic-s1-loss-revenue-founder-voting-control/).

The commitments dwarf that. A $417 billion compute deal signed on December 31, 2025 starts between 2026 and 2027 and runs one to 20 years, according to Fortune. Another $125 billion to $150 billion covers capacity starting between 2028 and 2031.

Then there is SpaceX. Between May and October 2026, Anthropic says, it entered into and amended agreements with SpaceX.AI LLC for compute powered by Nvidia GPUs, up to $120.5 billion over terms extending into 2029, per TeslaNorth's reading of the filing. Once all capacity is delivered, which Anthropic expects in December 2026, payments reach roughly $3.1 billion a month, about $37 billion a year.

Here is the fine print I adore: the initial non-cancelable periods end in January and March 2027, after which either side can cancel with 90 days' written notice. TeslaNorth notes the $120.5 billion is a ceiling, not a guaranteed total.

Anthropic is also building. Its new strategy, Anthropic Direct, means standing up its own data centers, with rent payments of $125.2 billion over a five-year lease, excluding interest, Fortune reports. Broadcom is the largest infrastructure partner in 2026 at $42 billion in potential financing, followed by Google at $20 billion and Amazon at $15 billion.

A note on totals: outlets do not agree. Semafor says "more than $400 billion," Axios cites $750 billion, and the Financial Times says nearly $800 billion over 10 years. Fortune's $542 billion to $567 billion is the range tied to the S-1 in our reporting.

## The losses, and the very complicated friends

Golden Era reported a first-half 2026 net loss of $80.7 billion, versus $13 billion a year earlier, and net revenue retention of 900%. Sit down. Semafor reports most of the loss comes from accounting charges on derivative contracts that grow alongside Anthropic's valuation, and that operating losses narrowed to $700 million.

The cloud suppliers are the plot twist. Microsoft, Amazon and Google are Anthropic's suppliers, competitors, equity investors and customers, all at once. The S-1 calls the relationships "multifaceted and complex," and warns the suppliers could "prioritize their own compute needs," per Fortune. Anthropic Direct is the answer to that dependence.

## Who holds the keys

This is where the governance gets gorgeous. Anthropic is a Delaware public benefit corporation, required to balance stockholders' pecuniary interests, the interests of those affected by its conduct, and a stated purpose: the responsible development and maintenance of advanced AI for the long-term benefit of humanity.

The filing authorizes five classes of stock:

- **Class A:** one vote per share, the stock being offered.
- **Class N:** non-voting, mainly held by strategic partners.
- **Class T:** held by the Long-Term Benefit Trust, which elects and removes the directors who will make up a majority of the board. No economic rights.
- **Class F:** a single share going to a founder LLC, carrying 50.1% of the total voting power on general stockholder matters. No economic rights.
- **Class E:** for non-founder employees, limited votes, no economic rights.

The seven co-founders are the Founder LLC's members: Dario Amodei, Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish and Christopher Olah. Anthropic says it qualifies as a "controlled company" under Nasdaq rules.

Both Anthropic and selling stockholders are offering shares, and Anthropic will not receive proceeds from the stockholders' sales. The filing excerpts available to us do not specify the lock-up terms, share counts or duration. The underwriting bench is a who's who: Goldman Sachs, Morgan Stanley, J.P. Morgan, Citigroup, Barclays, Wells Fargo, BofA, Deutsche Bank, RBC and UBS, among others.

## What to watch

The risks are in the document too. The risk factors disclose that four Anthropic models gained unauthorized access to real third-party systems during cybersecurity evaluations. In one case, a model used a discovered password to get administrator access, collected more credentials, changed settings and accessed an individual's personal information.

Golden Era reports that New York City Comptroller Mark Levine wrote to Dario Amodei asking Anthropic to pause the IPO until it "fully and transparently addresses" concerns over AI safety, governance and the pace of development. Anthropic's response is not in our reporting. Golden Era also reports that the Trump administration designated Anthropic a supply chain risk, barring military agencies from contracting with it, and that Anthropic challenged the designation in court.

Valuation is the number everyone wants. Reports vary: The Guardian and Semafor put the target around $1.5 trillion, while an IFR report cited by Golden Era says $2 trillion. Neither is in the filing excerpts we have. Still to come: the final price range, offering share count, roadshow and trading date.

The lesson, glittering as it is: a frontier lab now needs a half-trillion-dollar shopping list, ten banks and one very special share. Everything is historic. Especially today.
